Jurisdiction: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in San Juan, Puerto Rico.

Arbitration: The arbitration shall be conducted by San Juan Civil Court in accordance with its commercial arbitration rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

Class Action Waiver: Users agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class, collective, or representative action. Users further waive any right to participate in any class action lawsuits or class-wide arbitration proceedings.

Exclusive Jurisdiction: The parties hereby consent to the exclusive jurisdiction and venue of the courts in San Juan, Puerto Rico for any legal proceedings arising out of or relating to these Terms.

Dispute Resolution and Class Action Waiver

Enforcement: The arbitrator's award shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

Exceptions: Notwithstanding the foregoing, Bacardo may seek injunctive or other equitable relief to protect its intellectual property rights or confidential information in any court of competent jurisdiction.

No Waiver

No Implied Waivers: The failure of Bacardo to enforce any provision of these Terms shall not be construed as a waiver of such provision or the right to enforce it at a later time.

No Course of Dealing: No course of dealing or failure to enforce any provision of these Terms shall operate as a waiver of such provision or any other provision herein.

Written Waivers: Any waiver of any provision of these Terms must be in writing and signed by Bacardo to be valid and enforceable.

Limited Waivers: Any waiver of any provision of these Terms shall only apply to the specific instance for which it was given and shall not be deemed a waiver of any subsequent breach or provision.

Users acknowledge and agree that Bacardo's failure to enforce any provision of these Terms shall not constitute a waiver of such provision or the right to enforce it at a later time. Any waivers must be in writing and signed by Bacardo to be valid.
Severability

Invalidity or Unenforceability: If any provision of these Terms is found to be invalid, unenforceable, or unlawful by a court or other competent authority, such provision shall be deemed severed from these Terms, and the remaining provisions shall continue in full force and effect to the fullest extent permitted by law.

Reformation: If any provision of these Terms is found to be invalid, unenforceable, or unlawful, but would be valid, enforceable, or lawful if some part of it were deleted or modified, the provision shall apply with the minimum modification necessary to make it valid, enforceable, and lawful.

Independent Provisions: Each provision of these Terms shall be construed as independent of every other provision, and if any provision is determined to be unenforceable for any reason, such determination shall not affect the validity or enforceability of the remaining provisions herein.
